Thank you for your interest in TechPro, an Internet platform ("Website"). TechPro provides clients (collectively, "Users," or "You") an online venue to get connected to service providers or professionals (collectively "Professionals", “Experts", "Contractors", "Sub-contractors",) in various lines of work. By visiting our Website, you become a potential client at no cost and will have the ability to seek referrals for services.
This Website and TechPro's services are offered to you for use only in the Republic of South Sudan and are conditioned upon your unconditional acceptance, without modification, of the following terms, conditions, and notices ("Terms") contained in this TechPro Terms of Service ("Agreement"). Please read this Agreement carefully. Your use of the Website and any related services constitutes your agreement to all Terms. You agree and understand that certain features of the Website may be subject to additional terms and conditions. You agree to abide by these additional terms, and you further agree that a violation of those terms while you are accessing the Website will constitute a breach of this Agreement. This Agreement also includes TechPro's Privacy Policy and any notices regarding the Website.
You acknowledge and agree that TechPro may amend this Agreement at any time by posting a revised version of this Agreement on the Website. Your continued use of the Website after any changes are made to this Agreement will constitute your consent to such changes. TechPro does not and will not assume any obligation to notify Clients of any changes to this Agreement, or the creation or modification of any additional terms. You are responsible for remaining knowledgeable about the most current version of the Terms of the Agreement.
Use of the Website is permitted only by individuals who can form legally binding contracts under applicable Law. Without limiting the foregoing, use of the Website is not permitted by anyone under the age of 18. If you do not qualify, please do not use the Website. By using the Website, you represent and warrant that (a) you are at least 18 years old, are of legal age to form a binding contract with TechPro, and are otherwise capable of entering into binding contracts; and (b) if you are using the Website on behalf of a company, entity or other organization, that you are an authorized representative of the entity with the authority to and agree to be bound by this Agreement.
Upon visiting TechPro, a client may contact TechPro concerning desired services or work. To be referred to the right Professional, Clients must provide required information (e.g., the type of services/work, and the client's location). Upon receipt of a Professional Service Request, TechPro selects Professionals, from its list of professional profiles that are located in proximity to the Client. TechPro then gives the client information to the Professionals who will then contact the client to discuss the Client's service needs. The Client may also request for the Professional's contact which will be provided. When a Professional makes any communication with a Client, the Professional is acting on the Professional's sole behalf and is not a representative or agent of TechPro or any of their affiliates. TechPro does not and cannot guarantee that there will be Professionals who are capable of or willing to complete the requested services at the time and place requested or that the professionals will contact Client. All Professional Service Requests must be lawful and not in violation of any city, state or local laws. If a Client needs additional or future services that are outside of the scope of work contained in Client's original Professional Service Request, the client should return to TechPro for additional Professional referral services. The Professionals suggested by TechPro are only intended for the scope of work contained in the Client's Professional Service Request.
When a Professional contacts a Client, the Professional is acting on the Professional's sole behalf and is not a representative or agent of TechPro, or their affiliates. You agree that TechPro is not responsible for the accessibility or unavailability of any Professional or for your interactions and dealings with any Professional, waive the right to bring or assert any claim against TechPro relating to any interactions or dealings with any Professional, and release TechPro from any and all liability for or relating to any interactions or dealings with any Professional. If Client decides to use the Professional's services after Requesting a Professional Service, the Client and Professional may enter into an agreement for the Professional to perform services and the Client to pay the Professional for the services rendered. This agreement is solely between the Client and Professional. TechPro and their affiliates are not parties to such agreement.
By requesting a professional service, you represent that the request and services sought do not infringe on the intellectual property of any third party, including, but not limited to, the work, product of any contractors, design professionals, consultants, material suppliers, or manufacturers. Your description of the request and services sought must be truthful and accurate.
Although TechPro takes certain steps to examine the credentials of Professionals, TechPro makes no guarantees, promises, warranties or representations of any kind regarding the skills or representations of such Professionals.
Mandatory, background checks are performed on the Professional's principal/owner named during the TechPro's registration with TechPro before joining TechPro's Professional network and periodically thereafter. TechPro's background checks search for relevant criminal background for the principal/owner of the Professional's business. Background checks on the principal/owner of the Professional business reflect that individual's background at the time of the search. Accordingly, Pro Referral does not and cannot warrant that the background check is up-to-date or current. Further, background checks are not applicable to any Professional's employees or workers except the principal/owner of the Professional's business named by the Professional during registration.
We request a copy of the Professional's license. The term "Professionals" will not be construed as a representation by TechPro that all Professionals are properly licensed. Clients are solely responsible for determining which licenses, if any, are required for their requested services and whether the Professional that the client is referred to is properly licensed. Before you proceed with a project, you should confirm all licensing requirements with your state and local authorities and your referred Professional. TechPro always recommends that you ask the Professional to provide you with a copy of their license(s).
TechPro and Professionals are separate entities and the employee of one of those entities is not an employee of another entity. TechPro is not an agent of Professionals and a Professional is not an agent of TechPro. TechPro is also not your agent. In no event will TechPro be considered a general contractor, specialty contractor, construction manager, project manager, joint employer, joint venture, or partner of you, any Professional or its affiliates or their respective personnel.
YOU SHOULD VERIFY THAT THE INFORMATION PRESENTED BY THE PROFESSIONAL, IS ACCURATE. TECHPRO DOES NOT VERIFY ALL INFORMATION OR DOCUMENTS PROVIDED BY PROFESSIONALS AND EXPRESSLY DISCLAIMS ANY GUARANTEES, INDEMNITIES OR WARRANTIES CONCERNING SUCH INFORMATION. CLIENT SHOULD CONDUCT THEIR OWN INVESTIGATION OF PROFESSIONALS, TO INVESTIGATE AND TO DETERMINE, AMONG OTHER THINGS, WHETHER PROFESSIONALS ARE APPROPRIATELY LICENSED FOR THE REQUESTED SERVICES, FREE OF STATE OR LOCAL-LEVEL CIVIL LEGAL JUDGMENTS.
TECHPRO RECOMMENDS THE SERVICES OF PROFESSIONALS. THE DECISION TO ENTER INTO AN AGREEMENT FOR WORK BELONGS ENTIRELY TO THE CLIENT. TECHPRO DOES NOT WARRANT THE PROFESSIONAL'S PERFORMANCE ON THE JOB OR THE QUALITY OF GOODS, MATERIALS, EQUIPMENT OR SERVICES FURNISHED BY PROFESSIONALS.
PROFESSIONAL REQUEST. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK. TECHPRO MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF ANY PROFESSIONAL OR THE PROFESSIONAL'S ABILITY TO PROVIDE A SERVICE COMPLIANT WITH THE CLIENT'S REQUEST. YOU EXPRESSLY ACKNOWLEDGE THAT TECHPRO MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, REGARDING THE QUALITY OF SERVICES RENDERED BY ANY SERVICE PROVIDER.
The client is solely responsible for paying the Professional for any work completed in accordance with the Client's agreement with Professional and for making payment arrangements directly with Professional. Client may be required by its agreement with Professional to pay a deposit to Professional prior to Professional's commencement of the work. TechPro will not be liable for any claims made by Client relating to, or arising out of, charges to a Client's Professional Referral account authorized by Client's agreement with Professional.
TechPro offers Clients a Satisfaction guarantee valid for thirty (30) days after the Professional completes or abandons the services or work required by the agreement between Client and Professional. The Satisfaction Guarantee is intended to restore Client's confidence in the referral services provided by TechPro. The Satisfaction Guarantee does not cover faulty workmanship of the Professional and damages to your product or property that arise from or relate to the services of the Professional.
In the event that a Client and Professional are unable or unwilling to agree upon a resolution pursuant to Section 6.5 below, the Client may be eligible for the TechPro Satisfaction Guarantee aimed at rectifying Client's dissatisfaction with TechPro's referral if Client strictly complies with all of the conditions of this Agreement. To be eligible for the TechPro Guarantee, the Client must have:
If you do not comply with these conditions, or if you misrepresent the transaction or provide incomplete information, then the Satisfaction Guarantee will be null and void. The Satisfaction Guarantee does not extend to satisfaction with a Professional related to work or services outside the scope of your original Service Request.
In the event that the above conditions are met by the Client, TechPro may make payment to Client up to $50. TechPro reserves the right, in its sole discretion, to determine the Satisfaction Guarantee payment amount.
The Satisfaction Guarantee is neither insurance nor security for the performance of work, services, or materials supplied by Professional.
Clients dissatisfied with a job performed by a Professional agree to resolve issues directly with the Professional without the involvement of TechPro. If direct communications and efforts between the Client and the Professional do not satisfy Client's concerns, TechPro may, in its sole discretion, contact Client and Professional to facilitate further communication regarding Client's dissatisfaction. However, TechPro is not responsible or liable to either the Client or the Professional if a mutually acceptable resolution is not reached between Client and Professional. TechPro does not, at any time, become a party to your dispute with the Professional.
TechPro will not directly participate in the resolution of any disputes between Clients and Professionals and is not responsible for disputes, claims, losses, injuries or damage of any kind that might arise out of or relate to conduct of Users (Clients & Professionals).
CLIENT IS SOLELY RESPONSIBLE FOR ITS INTERACTIONS WITH PROFESSIONALS, INCLUDING THE TERMS AND CONDITIONS OF ANY CONTRACT ENTERED INTO BETWEEN CLIENT AND PROFESSIONAL. CLIENT'S RIGHTS UNDER CONTRACTS YOU ENTER INTO WITH PROFESSIONALS ARE GOVERNED BY THE TERMS OF SUCH CONTRACTS AND BY APPLICABLE STATE LAWS. SHOULD YOU HAVE A DISPUTE WITH ANY PROFESSIONAL, YOU SHOULD ADDRESS SUCH DISPUTE WITH THE PROFESSIONALS DIRECTLY.
In exchange for the referral service provided by TechPro and other good and valuable consideration, you expressly agree to forever release and discharge TechPro, its officers, directors, affiliates and employees, agents from any claims, demands, causes of action, losses and damages (direct and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way relating to your agreement with Professionals and any work or services performed by Professionals.
TECHPRO MAKES NO REPRESENTATION ABOUT THE SUITABILITY OF THE CONTENTS OR SERVICES OF THE WEBSITE FOR ANY PURPOSE. PRO REFERRAL DOES NOT PROMISE THAT THE WEBSITE WILL BE ERROR-FREE, UNINTERRUPTED. THE WEBSITE AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TECHPRO CANNOT ENSURE THAT ANY FILES YOU DOWNLOAD FROM THE WEBSITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. TECHPRO WILL NOT HAVE ANY LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT OF THIS WEBSITE, FOR YOUR ACTION OR INACTION IN CONNECTION WITH THIS WEBSITE OR FOR ANY DAMAGE TO YOUR COMPUTER OR DATA OR ANY OTHER DAMAGE YOU MAY INCUR IN CONNECTION WITH THIS WEBSITE. TECHPRO SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TECHPRO MAKES NO GUARANTEES OF ANY SPECIFIC RESULT FROM USE OF THIS WEBSITE. YOUR USE OF THIS WEBSITE IS AT YOUR OWN RISK.
IN NO EVENT WILL TECHPRO, ITS OFFICERS, DIRECTORS, OR AFFILIATES, EMPLOYEES AND/OR AGENTS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, GENERAL, SPECIAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR RELATING TO (A) THE USE OF, CONTENT IN, DELAY OR INABLITY TO USE, OR OTHERWISE ARISING IN CONNECTION WITH THE USE OF THE WEBSITE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, PROPERTY DAMAGE, EMOTIONAL, DISTRESS, DATA BREACHES, AND/ANY OTHER DAMAGES, WHETHER BASED ON CONTRACT, TORT, STRICT, LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. TECHPRO IS NOT LIABLE FOR ANY LOST DATA RESULTING FROM THE OPERATION OF THE WEBSITE. TECHPRO EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTY USERS, TECHPRO USERS, ADVERTISERS AND SPONSORS ON THE WEBSITE, IN CONNECTION WITH THE WEBSITE OR OTHERWISE RELATED TO YOUR USE OF THE WEBSITE. BY USING THE WEBSITE YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL INTERACTIONS WITH PROFESSIONALS OF THE WEBSITE.
